第一章。 名称、性质、宗旨

一.名称

本协会全名为美国大华府地区无锡同乡会;英文名称是 Wuxi Association of Greater Washington Area (WAGWA).

二。性质

本会为非盈利、非政治性组织, 会员由籍贯无锡地区(含无锡、宜兴和江阴)或曾经在无锡地区工作、学习、居住过的留美人士自愿加入构成。

三.宗旨

本会旨在加强大华府地区以及全美无锡同乡间的联谊、信息交流和互助互利,促进与家乡各级政府或组织的联系,关心和促进故乡的建设发展,促进中美之间的文化教育和经贸交流。

第二章。 会员资格和权益

四. 会员资格

本会实行个人或家庭会员制。凡居住在大华府及周边地区的无锡、宜兴和江阴籍人士或曾在无锡地区生活、工作、学习过的人士及眷属,均可登记入会成为同乡会正式会员(本地会员)。旅居全美各地的无锡、宜兴和江阴籍人士也可参加本会成为同乡会通讯会员。荣誉会员可授予经常支持本会或对无锡地区发展建设做出较大贡献的人士。

五. 会员义务

认同本会章程,参加本会活动或网上交流,支持本会的管理和发展。

六. 会员权利

正式会员有选举权和被选举权。会员有权参加本会举办的各项活动。经理事会同意,也可代表本会参加社区活动或以本会名义主办、协办活动,但不能为个人谋取利益。

第三章。 组织结构和运作管理

七. 理事会

本会执行机构为理事会,负责制定与本会宗旨相符的发展方向和政策,监管本会的管理与发展,并协助本会的重大活动。理事会理事由会员提名经协商或选举产生,任期两年, 可连选连任。理事会成员应反映无锡地区三市(无锡、宜兴和江阴)和年龄组的代表性。理事会设有理事会主席,主持召开理事会议,决定任期内调整或增补理事会成员。理事会决定本会日常会务行政管理人员的组成,并批准重大提议或行动方案。理事会理事均以义工形式为协会服务。理事会设会长、副会长和财务理事,主持日常会务及协会活动。人选由理事会内酝酿选举产生。会长,副会长任期一年,可连任。根据会务需要,理事会可为本会在美国或海外聘请荣誉或名誉会长及顾问若干。

第四章。 协会活动

八. 协会活动

本协会的主要活动是促进会员间的联谊与信息交流,加强大华府地区乃至全美无锡同乡与家乡政府机构或其他组织间的联系和互动。所有活动必须在美国法律允许范围之内开展。

第五章。 财务资金管理

九. 资金来源

本会会员实行免费入会。本会主要财务来源为会员和社会各界各种形式的自愿捐赠,以及活动收费。本会所接受的所有捐赠均不得带有与本会宗旨相违背的附加条件。所有资金资产均属于本会财产。

十. 资金管理

理事会推选一名财务理事管理日常财务活动。会长根据需要可与财务理事同署决定80美元以下的支出。大于80美元的支出须经理事会讨论决定。所有资金收入和支出项目都需详细登记,保留发票,接受会员查询。财务理事每年向理事会报告财务状况,并通报全体会员。

本章程的修改需经理事会半数以上理事的同意或经出席会员大会或通讯投票三分之二以上会员的认可。本章程的解释权属于本会理事会。本中文版章程与英文版章程具同等效力。

Constitution of Wuxi Association of Greater Washington Area (Bylaw)

Chapter 1. Name, Nature, and Purpose

Article I

Name: The English name of the Association shall be: Wuxi Association of Greater Washington Area (WAGWA)

Article II

Nature: The Association shall be a non-political, non-profit civil organization which is formed voluntarily by the people who are native to the greater Wuxi area, including Wuxi, Yixing and Jiangyin; or who once worked, studied, lived in these three cities.

Article III

Purpose:

1. To promote the friendship, communication, or information exchange among the Chinese people who come from the greater Wuxi area and currently live in the greater Washington DC area or in other US areas, and help protect their due rights;
2. To promote and strengthen the connections to the hometown government or other organizations; and
3. To promote Chinese-American culture, education and business exchanges.

Chapter 2. Qualification and Rights of Membership

Article IV.

Membership: The Association shall consist of regular (local) members, members of communication, and honorary members. Those who are currently live in the greater Washington area and are native to Wuxi, Yixing, and Jiangyin or used to live or work/study in these cities shall be regular (local) members. Wuxi, Yixing and Jiangyin natives who reside in other US areas shall join the Association as members of communication. Honorary members shall be those who have close relationship with the Association or the three Wuxi cities, and who have contributed in their specialty to development of the greater Wuxi area.

Article V.

Duties of members: Members should admit and obey this constitution (bylaw), participate in the activities of the Association, support and contribute to the management or development of the Association. No one should make individual profit in the name of the Association.

Article VI.

Rights of members: Only regular members in good standing shall have the right to vote or to be voted. Both regular members and honorary members shall enjoy all the services provided by the Association. With approval by the Governing Board, all members shall be able to sponsor or co-sponsor local social activities in the name of the Association.

Chapter 3. Structure and Administration

Article VII.

Governing Board: There shall be a Board responsible for the management of the obligations of the Association. All powers of the Association may be exercised by or under authority of the Board. The Board members shall be chosen by the membership of the Association, considering that they come from different cities (Wuxi, Yixing, and Jiangyin), and reflecting different age groups. The Board members shall elect chairperson(s) to lead the Board. The term of Board members shall be two years. The duties of the Board shall be to determine the policies for the good of the Association in accordance with the Constitution (Bylaw), to approve the executive officers elected, and to approve any resolution or proposals raised by the officers.

Executive Officers: The Executive Officers conduct the daily administration affairs for the Association in accordance with the policies determined by the Governing Board. There shall be one President, one to two Vice President(s), and one Treasurer as the Executive Officer team. Candidates for the President shall present a detailed administration proposal to the Board. The term for the Offices shall be one year.

Honorary president or consultant: Some respected and renowned people who come from greater Wuxi area, either living in US or in China, can be invited as to be honorary president(s) or consultant(s) of the Association. All these nominations shall be approved by the Board.

Both Board members and Executive Officers shall work voluntarily for the Association.

Chapter 4. Activities

Article VIII.

Activities: The main activities of the Association shall be friendship promotion and information exchange among the Association members, and between the Association and the hometown Wuxi government or other organizations. All activities shall be conducted in accordance to the laws and regulations of the U.S or the districts.

Chapter 5. Finance and fund administration

Article IX.

Membership dues are free of charges. However, the Association shall welcome voluntary donations from the Association members or other public/private organizations.

Article X.

All funds and other assets of the Association shall be irrevocably assigned and controlled by the Association. The Treasurer shall be responsible for handling all funds, securities, receipts and disbursements of the Association. If necessary, there shall be a special bank account for the Association to which all funds shall be deposited in. Any important financial payment with amount more than $80 shall be decided by all Board members. All of the receipts of affairs shall be kept in case it needs for verification. The treasurer shall give an annual report to the Board to describe the financial situation and plans. The information shall also be available to the Association members.

Chapter 6. Constitution Amendment

Article XI.

Amendment or update of the Constitution (bylaw): Amendments or update may be initiated by individual members of the Board. Amendments must be approved by the over half majority of the Governing Board. The Governing Board shall be responsible for the explanation of the Constitution.
